API Services Agreement - Summary of Key Terms

You will need to pay for the API services

 

Fees are charged based on your chosen Package (pay as you go or upfront payment options available on our website). You must pay these Fees to access and use the API.

 

Fees are non-refundable

 

To the maximum extent permitted by law, the Fees are non-refundable (other than where termination is due to our Termination for Convenience, our breach of these Terms or you not agreeing to any changes we have made to the Terms, the Services, the features of your Package and/or the Fees because the changes have an impact on you).

 

Late payments

 

If you don’t pay on time, we may cease providing the Services after 5 Business Days and charge interest (Reserve Bank cash rate plus 2% per annum) on unpaid amounts. You’ll also be liable for our additional costs including legal fees and debt collector fees.

 

Payment methods

 

Payment methods are set out on our website and may include third-party providers (e.g. Stripe), which are subject to their own terms and conditions.

 

Changes to the agreement

 

We may amend these Terms, the Services, the features of your Package and the Fees at any time, by providing written notice to you (however if the changes have an adverse impact on you, you may terminate these Terms).

 

Your responsibility for obtaining consents

 

You are responsible for obtaining any consents, licences, permits and permissions from other parties as required for the Services to be provided (other than in respect of Third Party Inputs), at your cost, and for providing us with the necessary consents, licences and permissions.

 

Your privacy

 

We will handle your personal information in accordance with our privacy policy, available at wych.io/privacy-policy.

 

What we're not liable for

 

To the maximum extent permitted by law, we will not be liable for any Consequential Loss or any Liability caused or contributed to by, arising from or connected with any aspect of your interaction with a Customer, any Third Party Inputs or your Systems.

 

Your indemnity obligations

 

To the maximum extent permitted by law, you agree to indemnify us for any Liability that we may suffer or otherwise become liable for, arising from or in connection with a breach of any applicable Laws, including the Consumer Data Right and any applicable Privacy Laws or a breach of the privacy clause in these Terms.

 

Your consumer rights

If you are based in New Zealand and entering into these Terms for the purpose of trade, you agree that the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986 does not apply. If you are based in Australia, certain rights under the Australian Consumer Law cannot be excluded.
